מניית דריו הלת' זינקה בכ- 54% :השלימה בהצלחה הנפקה פרטית בהיקף של כ- 28.6 מיליון דולר

ניו יורק, 31 ביולי, 2020 – דריו הלת' (DarioHealth) (נסד"ק: DRIO), חברה גלובלית מובילה בתחומה המפתחת פתרונות דיגיטליים לניהול מחלות כרוניות, הודיעה היום  כי השלימה הנפקה פרטית עם משקיעים כשירים, לרבות קרנות ומשקיעים מוסדיים מארה"ב וישראל. סך התקבולים מההנפקה הינו כ-28.6 מיליון דולר, לפני ניכוי שכר טרחה והוצאות הנפקה.

ההון מהגיוס הנוכחי, בשילוב עם יתרת המזומנים במאזן החברה מציב את החברה בעמדה פיננסית, הטובה ביותר מאז הקמת החברה. החברה צפויה להשתמש במשאבים אלה למימון תכנית התפעול האסטרטגית ארוכת הטווח, במסגרתה תרחיב את התמקדותה מערוץ המכירה הישירה לצרכנים למודל B2B2C אשר לדעתה הנו גדול ורווחי יותר. מודל עסקי זה מתאפיין בעלויות נמוכות יותר של רכש לקוחות, שולי רווח גדולים יותר והכנסות חוזרות. בהקשר זה, השימוש העיקרי בתקבולי ההנפקה יהיה להמשך מימון הקמת התשתית המסחרית של החברה ולסיוע בהשגת חוזים עם מבטחים בתחום הבריאות ומעסיקים וספקים המבטחים את עצמם במטרה לחדור לאוכלוסיות רחבות של עמיתים, עובדים ומטופלים.

לבעלת המניות הגדולה ביותר של החברה כיום, Nantahala Capital Management LLC, הצטרפו משקיעים חדשים, בהם קרנות המנוהלות על-ידי Manchester Management Company LLC, Soleum Capital Management L.P וכן משקיעים מוסדיים ישראליים מובילים כגון הפניקס חברה לביטוח, מור בית השקעות, בית ההשקעות הגדול בישראל – פסגות ומיטב ד"ש בית השקעות .

החברה מכרה 2,969,266 מניות רגילות ואופציות לרכישת 824,869 מניות רגילות במחיר מימוש של 0.0001 דולר למניה. נכון ל-28 ביולי, 2020, מחיר הרכישה למניה היה שווה ל-7.47 דולר, או "מחיר המינימום" על פי חוק מס' 5365(d) של נסד"ק. מחיר הרכישה של כל אחת מהאופציות הממומנות מראש היה 7.4699 דולר. החברה מכרה גם 31,486 מניות רגילות במחיר למניה השווה ל-7.94 דולר או "מחיר המינימום", בכפוף לכלל 5365(d) של נסד"ק נכון ל-30 ביולי, 2020. העסקה נסגרה ב-31 ביולי 2020.
